1. Our Agreement

1.1 These terms and conditions (“Terms”) are the Terms on which myBarrister provides the myBarrister service (“Service”) to you. These Terms shall be read with, and are in addition to, our privacy policy, which can be accessed from the link, https://www.mybarrister.co.uk/content/privacy-policy  (“Privacy Policy”). Please read these Terms carefully before subscribing to the Service. These Terms are only available in the English language.

 

1.2 We will amend or modify these Terms from time to time to reflect changes to the Service or for legal, regulatory or security reasons. We will give you reasonable notice by email of any changes to these Terms. Continued use of the Service after changes notified to you are effective constitutes your acceptance or deemed acceptance of the Terms as modified.  If you do not agree to the amended Terms, you have the right to cease using the Service.

 

2. About us

2.1 We are myBarrister. Ltd, a company registered in London  with the registered address of 6th Floor One London Wall, London, United Kingdom, EC2Y 5EB

(“myBarrister”, “we”, “us”, “our”).

3. The Service

3.1 The Service for the Free app is designed to create a global network of barristers and to enable you to better organise your practice. The Service for the Cloud app includes the foregoing features and adds cloud storage to enable you to have access to your files without the burden of carrying them with you at all times. The Service for the Business app includes the foregoing features and will introduce potential clients to you. The Service for the Premium app includes the foregoing features, cloud storage and potential clients. We accept no responsibility or liability for, and expressly disclaim all responsibilities and liabilities arising out of or relating to, and we shall have no involvement with, any contact, relationship and/or dealings you may have with any clients introduced to you via the Service.

 

3.2 You shall defend, hold harmless, and indemnify myBarrister (and myBarrister’s employees, shareholders, and directors) from any claim or action brought by a third party, including all damages, liabilities, costs and expenses, as well as reasonable barristers’ fees, to the extent resulting from, alleged to have resulted from, or in connection with these Terms or any agreement or contract arising hereunder, your use of the Service in breach of these Terms, and/or any act or omission by you. You agree that you will not involve us in any dispute between you and any third party.

 

3.3 We do not offer legal advice or legal service. We do not make any statement (express or implied) that your use of the Service will produce any particular outcome (whether in relation to volumes or quality of clients or otherwise). No barrister-client relationship will arise between the client and us.

 

3.4 We are constantly looking for ways to improve and expand the Service. You agree that we may do so.

 

4. Your obligations

4.1 You must at all times act in accordance with the standards of conduct established or enforced by all relevant regulatory bodies and law, and all applicable legal, professional and ethical regulations and guidelines in connection with your practice as a barrister, and be qualified to practice law and are not under investigation by or in litigation with any relevant regulator of barristers.

 

4.2 You agree:

(a) to use best endeavours to respond to client enquiries directed to you via the Service on the day you receive them, and in any event within 24 hours. You may accept or decline any enquiry;

(b) we will have no part in any advice, relationship, contract or transaction that you may have, or enter into, with a client following an enquiry you receive via the Service, and we shall not be liable to you for any loss or damage which you suffer in respect of the same.

 

4.3 You agree that, in relation to all Personal Data (as defined in the Privacy Policy) of the clients obtained through the Service, you will only use such Personal Data for the purposes communicated by us to you, and that your collection, use, processing and disclosure thereof will be in compliance with the Privacy Policy. You will further ensure that such Personal Data is kept protected and confidential in accordance with applicable laws as well as applicable professional and ethics regulations, rules and guidelines to which you are subject.

 

 

5. Your use of the Service

5.1 Registration, Passwords and Security

As part of the Service you will be asked to set-up a password and username. This will not apply if you login via Gmail or Facebook. You are responsible for maintaining the confidentiality of your password and username and are responsible for all activities that are carried out under them. We will not be responsible for losses suffered by you where your password or user name is used by someone else. You agree to notify us immediately by email to [email protected] if you become aware of or suspect any unauthorised use of your password or username.

 

5.2 Your promises to us

You warrant and undertake that:

(a) all information and details provided by you to us (including on registration and as displayed on any profile) are true, accurate, complete and up to date in all respects and at all times;

(b) you will at all times comply with the restrictions on your use of the Service as set out in these Terms; and

(c) if you purchase the Cloud app, the Business app and/or the Premium app, you will promptly pay us the applicable fees and taxes. Failure to pay these fees and taxes will result in the termination of your registration and/or access to such Service.

 

5.3 Your conduct

You agree that in using the Service you will not:

(a) act in an unlawful or unprofessional manner in connection with the Service, including being dishonest, abusive or discriminatory;

(b) use the Service for any unlawful purpose, and will comply with all applicable laws and regulations;

(c) use the Service in any way that interrupts, damages, impairs or renders the Service less efficient;

(d) impersonate any other person (living or dead), misrepresent your connection with a person or entity, or provide false or otherwise misleading information;

(e) transfer files that contain viruses, trojans or other disabling, intrusive, malicious, corrupting, disruptive or harmful programs or codes;

(f) authorise, encourage or assist any other person to, copy, modify, reverse-engineer, decompile, disassemble, alter or otherwise tamper with any software (including source code), databases and other technology that form part of the Service;

(g) access or attempt to access the accounts of other users or penetrate or attempt to penetrate the Service security measures;

(h) email, publish or otherwise disseminate any content which is defamatory, obscene, or may have the effect of being harassing, threatening or abusive to an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability or that is otherwise inappropriate;

(i) advertise or promote third party or your own products or services by way of the distribution of 'spam' email or messages; and/or

(j) use the Cloud storage for any purpose other than the practice of law.

 

5.4 Other Content

By using the Service, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. While we may remove or edit any such content or information brought to our attention, you acknowledge and agree that it is not myBarrister’s policy to exercise editorial control over, and to review, edit or amend any such content provided by you or others. You agree that we will not be responsible for content or information provided by you or third parties. We cannot prevent misuse of our services by others, and you agree that we will not be responsible or liable for any such misuse, or any loss, damage or liability incurred by you arising from the use or reliance of content of information provided by third parties.

 

6. Rights Granted and Reserved

6.1 Your use of the Service and its contents grants no rights to you in relation to our intellectual property rights (IPR) or the IPR of third parties.

6.2 You agree that we can edit or take down from the Service any content you submit to us without notice if we believe it is in breach of these Terms.  In the event that we do so, we will use reasonable efforts to promptly inform you of our actions. You are responsible for keeping a copy of your content. We will not back-up any content you submit to us and we will not be responsible for the loss of any such content.

6.3 You warrant and undertake that no part of any content you submit to us via the Service infringes or will infringe the intellectual property or any rights of any third parties, and you agree to fully indemnify us from and against any claims, losses, damages, costs or expenses that may arise as a result of a breach of this Clause 6.3. In relation to any content you submit which includes any Personal Data relating to any third party, please refer to Clause 4.3 of the Privacy Policy.

6.4 You acknowledge and agree that we will not be liable to you if your content is misused by third parties.

6.5  is a registered trade mark. You agree that the Registered Mark and its textual component, “myBarrister”, shall not be used without the express written authorisation of myBarrister  . Ltd, other than to refer to myBarrister  . Ltd, or to the business, services, products or website of myBarrister  . Ltd.

 

7. Fees, Term and Cancellation

7.1 The Fees

(a) There is no fee to be paid for using the Free app. There is a fee to be paid for using the Cloud app, the Business app and/or the Premium app. Please see our website for more details.

(b) You warrant that you own or are authorized to use any credit or debit card that is being used to pay for the Cloud app, the Business app and/or the Premium app. All credit and debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your card refuses to authorise payment we will not accept your request to subscribe to our Service, we will not be responsible for any non-provision of the Service, and we will not provide or may cease providing the Service to you. We will not be responsible for your card issuer or bank charging you as a result of our processing of your credit or debit card payment.

 

7.2 Term and cancellation

(a) This agreement between myBarrister and you, which incorporates the Terms, shall commence upon:

· in relation to the Free app, your registration for the Service; or

· in relation to the Cloud app, the Business app and/or Premium app, your registration for the Service and payment of the requisite fees and taxes,

and shall continue in force unless earlier terminated in accordance with the Terms (“Agreement”).

(b) We may terminate this Agreement for convenience at any time by giving you ten (10) days' notice in writing by email to your registered email address. We will refund the fees that you have paid in advance for the Service (if any) on a pro-rata basis for the period after the Agreement has been terminated.

(c) We may also immediately suspend your access to the Service and terminate this Agreement without notice and without refunding any fees if:

· you breach any of your representations, obligations and/or restrictions under this Agreement; or

· bankruptcy proceedings are brought against you, or you do not pay a court judgment on time, or you make an arrangement with your creditors or your assets are the subject of any form of seizure.

 

8. Links and Third Party Products & Services

The Service may provide links to websites and other apps (“Third Party Links”) and may use third party applications, software, plug-ins and/or platforms (collectively, “Third Party Applications”). You acknowledge that:

(a) we do not control such Third Party Links or Third Party Applications, and are not responsible for their contents, availability, operations, use or privacy practices.  You acknowledge and agree that your use of such Third Party Links and Third Party Applications shall be subject to the respective terms of use and privacy policy of such third parties. We have no control over the personal data that you submit to or receive from these third parties;(b) we are not a party to any transaction or contract with a third party that you may enter into via such websites, apps, products or services;

(c) we will not be liable to you in respect of any loss or damage which you may suffer by using such websites, apps, products or services; and

(d) you will not involve us in any dispute between you and any third party.

 

By providing Third Party Links or access to Third Party Applications, myBarrister does not provide any representation, warranty or endorsement, express or implied, with respect to the legality, accuracy, quality or authenticity of information or services provided by such Third Party Links any Third Party Applications, or that the operation or use of such Third Party Links, Third Party Applications will be uninterru d, error-free, timely, reliable or secure, and all such liability is excluded to the maximum extent permitted by applicable law.

 

9. Limits on our liability

9.1 To the maximum extent permitted by applicable law, we are not liable to you for:

(a) any losses not caused by our breach;

(b) any loss of profits, loss of revenues, loss of opportunity, loss of or corruption of data, loss of goodwill or damage to reputation;

(c) any indirect, special or consequential losses or damages of any kind; or

(d) any failure to provide the Service or to meet any of our obligations under these Terms where such failure is due to your breach or events beyond our reasonable control, including but not limited to any error, interruption, delay, failure or other technical breakdown or problem whatsoever and however caused by any equipment, software, systems, website, product or service of yours or third parties, including without any limitation, telecommunication problems, power supply problems, Internet or network related problems, problems with accessing or using Third Party Links or Third Party Applications, or problems with the quality and resolution of any Third Party Applications,

 

in each case arising out of any reason whatsoever including but not limited to:

(i) your access to, use of or reliance on the Service;

(ii) your uploading of any Personal Data (as defined in the Privacy Policy) and all other information on the myBarrister app or website;

(iii) your inability to access or use the myBarrister app or website; and

(iv) errors, defects, malware and viruses which may be accessible on the myBarrister app or website.

 

9.2 Without prejudice to Clause 9.1, our total liability to you for any loss or damage arising out of or in connection with this Service including without limitation these Terms, shall be limited to the fees you have paid us (if any) in respect of the Service.

 

9.3 We provide the Service on an 'as-is' basis and do not guarantee that the Service will be available or fault free and do not accept any liability for any errors, omissions, unavailability or interruptions. We may suspend or terminate the Service without notice at any time if we feel this is necessary (for example for maintenance or upgrades), but will use commercially reasonable endeavours to notify you of the same in advance. Save as set out in these Terms, we specifically disclaim all representations, warranties and/or conditions, express or implied, in relation to the Service including, but not limited to, any implied term, condition, representation or warranty of satisfactory quality or fitness for a particular purpose or non-infringement.

 

9.4 While we take reasonable precautions to prevent the existence of files that contain viruses, trojans or other disabling, intrusive, malicious, corrupting, disruptive or harmful programs or codes in the Service, we accept no liability for them.

 

10. General

10.1 We shall have the right to transfer our rights or obligations or delegate or sub-contract our obligations under these Terms to another legal entity or person.

 

10.2 These Terms are personal to you. You may not transfer your rights or obligations under these Terms to anyone else.

 

10.3 These Terms constitute the entire agreement and understanding between myBarrister and you and supersede any previous agreement or understanding between myBarrister and you. Neither myBarrister nor you have relied on any statement, representation, warranty, understanding, undertaking, promise or assurance (whether negligently or innocently made) of any person that is not set out in these Terms.

 

10.4 If we delay exercising or fail to exercise or enforce any right available to us under these Terms, this does not constitute a waiver of that right or any other rights under these Terms. A waiver by us of any breach shall not constitute a waiver of any subsequent breach. No waiver by us shall be effective unless it is expressly stated to be a waiver in writing, and is communicated to you.

 

10.5 If at any time any of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, the legality, validity and enforceability of the remaining Terms shall not be affected or impaired thereby, and shall continue in force as if such illegal, invalid or unenforceable provision was severed from the remaining Terms.

 

10.6 Except as otherwise provided in paragraph 10.1, these Terms do not give rights to anyone except myBarrister and you.

10.7 Except as otherwise provided in paragraph 10.1, any person who is not a party to these Terms (whether or not such person shall be named, referred to, or otherwise identified, or shall from part of a class of persons so named, referred to, or identified, in these Terms) shall have no right whatsoever to enforce any of the Terms.

 

 

10.8 Before resorting to arbitration, myBarrister and you shall attempt to settle in good faith any dispute which arises out of or in connection with the Service and/or these Terms by negotiations.

 

10.9  Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, or the Service shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one, the seat, or legal place, of arbitration shall be London, and the governing law shall be the substantive law of England and Wales.

 

10.10 The interpretation, construction and effect of these Terms shall be governed by and construed in all respects in accordance with the laws of England And Wales.

9.7 Except as otherwise provided in paragraph 9.1 any person who is not a party to these Terms (whether or not such person shall be named, referred to, or otherwise identified, or shall from part of a class of persons so named, referred to, or identified, in these Terms) shall have no right whatsoever to enforce any of the Terms.

9.8 Before resorting to arbitration, myBarrister and you shall attempt to settle in good faith any dispute which arises out of or in connection with the Service and/or these Terms by negotiations.

 

9.9 Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, or the Service shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one, the seat, or legal place, of arbitration shall be London, and the governing law shall be the substantive law of England and Wales.

 

9.10 The interpretation, construction and effect of these Terms shall be governed by and construed in all respects in accordance with the laws of England and Wales.
